3) The entrusted party must return to the

entrusting party proof that the procedural document

has been served. If the document cannot be served,

the entrusted party must notify the entrusting party

in writing the reason for its failure in effecting

service.

4) The entrusted party shall have no legal responsibility.

5) Forms of the above mentioned procedural documents shall

be exchanged by both parties.

6) The mutual service of the above mentioned procedural documents

shall be effected through the Higher People's Court of the

Guangdong Province and the Supreme Court of Hong Kong.

7) Service of procedural documents shall be effected by

double registered post free of charge. If the entrusting

party requires a special method of service, it shall indicate

its request in its written authorization and be responsible

for the necessary charge.

I believe that, with the concerted effort of both parties, the

above agreement concluded through mutual consultation will certainly be

put into full-hearted operation. We agree that, when this agreement has

been in operation for six months, a meeting should be held to discuss and

deal with any problems which may have arisen during the operation.

Enclosed herewith is a set of the procedural documents as samples

of such documents to be used in civil and economic proceedings, which we

have agreed shall be entrusted to the Supreme Court of Hong Kong by the

Higher People's Court of Guangdong for service.

With our respects,

(sd)

Pan Gehuan President
