FUTURE CONSULATE-GENERAL HONG KONG: SPECIAL CONDITION 13

We spoke earlier about this matter. I confirm the advice I gave you on the telephone that if the Chamber of Commerce is to rent accommodation in the Consulate-General, the prior written approval of the Director is required under Special Condition 13 of the Private Treaty Grant.
You asked what the following terms mean: "assign, charge and demise".

"Assign" is the transfer by the lessee of the whole of the unexpired term of a lease to another person.
"Charge" means to burden a property with certain rights of the chargee over the property.
"Demise" means to grant or convey an estate by lease; ie to lease.
HMG would certainly not be assigning, charging or demising the Consulate-General or part of it to the British Chamber of Commerce. If it rented space in the Consulate-General to the Chamber, it would be under-letting part of a building on the lot. As I explained above, Special Condition 13 would require the Director's prior written approval of this.
