That the capital of the company be increased by the creation of one hundreds thousand new preference shares of 810 ench, was authorised at an extraordinary general meeting of the Hong Kong and Territorial Estates, Ltd., at St. George's Building, yesterday morning

Mr. R. G. Shewan (Chairman) pre- sided, and others present were:-Mr. E. M. Raymond (coasulting committee) Mr. M. Turner (solicitor), Mr. A Braun (secretary) and the following shareholders: Messrs. A. A. Botelho, D. W. Munton, A. Keith, A. L. Shields, J. Toppin, H. Dreyer, and I. W. Shewan

The SECRETARY read the notice conven- ing the meeting.

The CHAIRMAN said:-Gentlemen: The object of the resolutions in the notice just read is to raise further working capital by creating and issuing further preference shares in addition to those already created all of which have been allotted, and most of the allotment monies utilised in meeting various obligations of the Company.

We have now further. beavy payments to meet, and we therefore, propose to create, such further preference shares to rank, pari passu in all respects with the existing preference shares.

We are not offering thero shares to shareholders generally, as we do not think that in the present state of the money market any appreciable number of them would be taken up. There is, however, one shareholder a large creditor who, we believe, is willing to come to our help, and we are therefore asking you to allow your Managers and Consulting Committee to make the best arrangements possible under the circumstances in respect of the allotment thereof.

I therefore propose as an ordinary resolution, That the capital of the Com- pany be increased by the creation of one bundred thousand new shares of $10 each to be called preference shares which shall carry the same special rights and pri- vileges sa are attached to the existing preference shares and shall in all respecte rank pari pas therewith."
