LAW OFFICERS to COLONIAL OFFICE.

Lincoln's Inn, March 7, 1865. We are honoured with your commands, signified in Sir Frederic Rogers' letter of the 3rd instant, stating that on the 25th of June last we reported our opinion that a Bill then before Parliament intituled “An Act for the better winding up of the New "Brunswick and Canada Railway and Land Company Limited," should not be allowed to proceed.

That, in a subsequent Report of July 11th,† we stated our opinion, that by a certain proposed amendment the principal objection to the Bill was removed and that the Bill might be permitted to be proceeded with.

Sir Frederic Rogers was also pleased to state that it appears that the Bill was not, in fact, passed during the session of 1864, but that its promoters propose to bring it forward with certain alterations during the present session, and that he was directed by you to enclose the copy of a letter which they have addressed to you, enclosing a copy of the Bill as now again altered.

And to request that we would favour you with our opinion, whether the Bill, as it

now stands, may be allowed to proceed.

In obedience to your commands we have taken this matter into our consideration, and have the honour to

That we think that the Bill in its present amended shape may be allowed to proceed.
