LAW OFFICERS to COLONIAL OFFICE.

Lincoln's Inn, April 15, 1861. MY LORD DUKE,

We were honoured with your Grace's commands, signified in Sir Frederic Rogers' letter of the 13th instant, in which he stated that in our letter of the 11th ultimo* we expressed our opinion that an Act passed by the General Assembly of New Zealand, entitled "An Act to provide for the establishment of new provinces in New Zealand," was in excess of the powers conferred upon that body by the Imperial Parliament.

Your Grace was pleased to express an opinion that an Act of Parliament should be at once passed to establish the validity both of the Act and of all that had been done under it, and still more desirable that the local Legislature should not be disabled from constituting new provinces in future.

Your Grace was therefore pleased to submit for our consideration the draft of an Act intended to effect these objects, and requested that we would inform your Grace whether the proposed Act will be proper and sufficient for its purposes.

That we have considered the draft of the proposed Act transmitted to us, and, subject to the few alterations we have made in the language, we approve of the draft Bill, and are of opinion that if it becomes an Act of Parliament it will be proper and sufficient for the desired purpose.
