Whitehall Gardens, London, S.W., June 24, 1905. WITH reference to our recent interview, I beg to state that we will as arranged take over the London business of the Tanjong Pagar Dock Company on the 1st of July. A representative of this Department will accordingly attend at the premises on the morning of that day. We would suggest that an inventory should be furnished of the property on the premises, and our representative could certify to its correctness.

2. We are unable, until we have had some experience of the business to make any definitè arrangement with any of your staff, but we are prepared to retain Mr. Gray's services, provisionally, at his present salary of £200 per annum.

We should be glad to hear if Mr. Gray is willing to continue his services on these terms, on the understanding that no notice shall be required if we desire to terminate the engagement, but that such temporary employment shall not preclude Mr. Gray from making any claim which he thinks fit for compensation under the arbitration.

3. I take this opportunity of acknowledging with thanks the courtesy with which you received us on the occasion of our visit.

Tanjong Pagar Dock Company.

WITH reference to the notices you have served on the Staff in London, we cannot admit that they are in order, but, having regard to our conversation of yester- day, we hope that there may be no real necessity to consider them further.

Our clients cannot undertake at present to dispense with Mr. Fraser's services, or the right of reference to and assistance from Mr. Gray. They also consider that at present the services of two clerks, at least, should be at their disposal, certainly, whilst the case of the Company is in preparation. But the whole of the Staff must remain until the accounts for the six months to 30th June are closed. This may take another week or so. The notices to clerks can therefore remain outstanding for the moment, and as you inform us that your clients intend making a proposition to Mr. Gray, it leaves only Mr. Fraser's case to be dealt with in this letter.

His case is an exceptional one. He has been long in the service of the Company, and is entitled to regard his appointment as a life one at £600 a year. We see no reason why he should be offered any substantially less sum in consequence of

your clients' action. They have decided to dispense with his services, and at his age he cannot obtain another post with an equal position to that which he has been enjoying. He has been in the East for the best years of his life, and the Company are of opinion that he should be dealt with most liberally under the existing circumstances. trust to hear from you that your clients will meet him in this spirit, and that we may shortly hear from you on his behalf with a minimum offer of £500 per annum for his life.

I BEG to acknowledge the receipt of your letter of 1st August,* with reference

to my nomination as Umpire by the Arbitrators in the matter of the acquisition of the Tanjong Pagar Dock Company's undertaking by the Government of the Straits Settlements, and enclosing a copy of the Ordinance relating thereto.

2. I have made arrangements which will enable me to reach Singapore by October 12th.

3. I cannot say that I am entirely satisfied with the fee suggested. The original proposal that I should allow my name to be submitted to the arbitrators was accom- panied by an intimation, doubtless unauthorised, that the fee would probably be six thousand guineas, besides expenses; and I have since heard it rumoured that one of the arbitrators will receive a considerably larger sum than that named in your letter. It is very far from my wish to make any request in this matter that Mr. Lyttelton would consider unreasonable, or to press in any way for the sum that was suggested to me, but I do not think it would be Mr. Lyttelton's wish that my services as Umpire should appear to be estimated at a less value than similar services by those associated with me in the arbitration, and therefore I trust that he may be able to reconsider in some measure the arrangement proposed in your letter. I should also be glad to know what the Colonial Office would propose as to the time of payment of the fees. I shall have at once to provide a considerable sum for prepayment of passage money, and for expenses at Singapore.
