(5.) Any instrument which, if made by private persons, would require to be under seal, shall be under the seal of the council and signed by the proper officer of the council. Any notios issued by or on behalf of a council shall be deemed to be duly executed if sigued by the proper officer, but, subject as aforesaid, any appointment made by a council or committse of a council, and 5 any contract, order, or other document made by or proceeding from a council, or committee of a council, shall be deemed to be duly executed, either if sealed with the seal of the council, or if signed by two or more members of the council or committee authorized to sign them by a resolution of the council or com- mittee, and signed by the proper officer; but it shall not be necessary in

any 10 legal proceeding to prove that the members signing any such order or precept were authorised to sign them, and such authority shall be pre-umed until the contrary is proved :

(6.) The proper officer of the council shall be any officer authorised by a council to sign such documents as he is required to sign as aforesaid, and it 15 shall not be necessary in any legal proceeding to prove his authority, and such authority shall be presumed until the contrary is proved.

If a council make default in holding its first meeting in pursuance of this Act, such a council shall not thereupon become disqualified from noting, but the Local Government Board, on the application of any ratepayer, resident in 20 the area under the control of such council, may make such order as they think fit for the holding of such meeting at some other time, and any mesting so held „hall be as valid as if it had been held in pursuance of this Act.

PROCEEDINGS.

1. Any member of a council may resign by notifying his intention so to do 25 in writing to the chairman of the council for the time being.

2. A council shall meet for the despatch of business, and shall from time to time make such regulations with respect to the summoning, notice, place, management, and adjournment of such meetings, and generally with respect to the transaction and management of business, including the quorum at meetings 80) of the board, as they think fit, subject to the provisions of this Act and to the following conditions:

(a.) An extraordinary meeting may be summoneɛ at any time on the requisi- tion of three members of a council addressed to the clerk of the council;

(b.) The quorum to be fixed by a council shall consist of not less than three

members;

(c.) Every question shall be decided by a majority of votes of the members

present and voting on that question ;

(d.) The names of the members present at a meeting, and upon a requisition 40

made by three or more members voting on a question, the names of the members voting on that question shall be recorded.

3. If at any meeting of a council the chairman is not present at the time sppointed for holding the same, the deputy chairman shall be the chairman of the meeting; and if neither the chairman nor deputy chairman be present, 45 then the members present shall choose some one of their number to be a chair- man of such meeting.
