■ a shareholder, or in respect of any question connected therewith, or in A.D). 1886. respect of any such sale, lease, loan, or advertisement as herein-before men- tioned, and if he does so vote his vote shall not be counted, and he shall incur for each time when he so votes a penalty not exceeding twenty pounds, 5 to be recovered in a summary manner.

A member of a council shall also vacate his office as a member if he absents himself from all meetings of such council for not lees than four months, unless the council resolve that it is expedient that such member should not vacate his office.

DELEGATION OF POWERS of a COUNCIL TO COMMITTEES

A council may delegate any of their powers to a committee consisting of such number of members of their body as they think fit; but any committee so formed shall, in the cxercise of the powers delegated, conform to any regu- Intions that may be imposed on them by the council; and the exercise of any 15 power of a council by a committee, whereby any contract is made involving a liability of more than fifty pounds, or whereby any licence or privilege is given or conferred on any person, shall not be valid unless such liability is adopted or such licence or privilege is confirmed by the council to which the committee belongs.

20 GENERAL PROVISIONS As to CouncilS AND COMMITTEES OF COUNCILS.

(1.) No act or proceeding of a council, or of a committee of a council, shall be questioned on account of any vacancy or vacancies in their body:

(2.) No defect in the qualification or election of any person or persons acting as members or member of a council or of a committee of a council shall 25 be deemed to vitiate any proceedings of such council or committee in which he or they have taken part in cases where the majority of members parties to such proceedings are duly entitled to act:

(3.) Any ininute made of proceedings at meetings of a council or of com- mittees of a council, if signed either at the meeting of the conneil or of the 30 committee at which such proceedings took place, or at the next ensuing meet- ing of the council or of the committee, by any person purporting for the time being to be the chairman of the council or of the committee, shall be receivable in evidence of such proceedings in all legal proceedings without further proof; and until the contrary is proved every meeting of the council or of any com- 35 mittee of the council where minutes have been so made of the proceedings shall be deemed to have been duly convened and held, and all the members thereof to have been duly qualified:

(4.) No member of a council, or committee of a council, by being party to, or executing in his capacity of meinber, any contract or other instrument 40 on behalf of the council or committee, or otherwise exercising any of the powers given to the council or committee, shall be subject individually to any action, suit, trial, prosecution, or other legal proceeding; and the council or com- mittee may apply any moneys from time to time coming into their hands for the purpose of paying any costs of legal proceedings or damages they may 43 incur in execution of the powers granted to them:
