PROSPECTUS

Inviting public subscription for 85,000 shares at par ($10 each), upon an increase of the Capital of the Company.

T is desired and a resolution for that purpose has been passed,

to increase the Capital of the Company to $1,000,000 by the issue of new shares, for the purpose of extending the business which is firmly believed will, if so extended. not only prove exceedingly profitable to all interested in the Company, Int will also supply a want to local concerns.

The Capital of the Company is now $1,000,000 of which, only $78,080 has been paid up and, on this the Company last year made a net profit of $19,817 and paid a dividend of 10 per cent at the end of the present financial year. It is anticipated that doubling the Capital will at least treble the profit; and, should this anticipation be realized, the Company could pay at least a steady Twenty per cent.

Strel Cantings are needed for numerous purposes, by all Railway contractors, Engineering and Dock Companies, everywhere in China, and by my snail manufacturem. At present a large portion of the Steel products which this Company is able to muzafacture is obtained from abroad-at prolubly a great expense-in 'consequence of the very limited capacity of this Company to carry out orders meelved. With an increased Capital, enabling more furnaces to be crostod, and more labour employed, this Company would then be in a position to supply noat of, if not all, the reds for steel castings in this part of the world: for, with the experience'now acquired by the General Managers, and by their present head workmen, there should be no difficulty whatsoever in most satisfactorily fulfiling such requirements.

It is much desired that sufficient additional capital be subscribed, beyond that which is required for the further development of the Steel Casting department, in order to enable a plant to be obtained, and set up, for the purpose of rolling Steel Ingots into material for Engineer. ing. Dook, and Building requirements; for which material there is now a great demand.

It is therefore trusted that many persons in the Colony will be found ready to subscribe towards the increased cupital desired, both for their un beneht, and for that of the community generally.

The General Managers are ready and willing to enter into any reasonable agreement desired by the Company to continue their services for a lengthy period. Also, if desired by the Company, they is fully prepared to transfer the chutro to Board of Directors.. comprised of such persons who are in a position to introduce business, as the Company thinks advisable,

The minimum, suðabription for the new shares now offered to the public, upon which the General Managers may proceed to allotment, is $200,000,

A submarine suddenly appeared off Scarborough at seven in the ́évening two wiles from the shore and immedi- alely bombarded the town. A dozen shells fell on the sea shore, which was growded with vitors. Several other shells fell in the town. "Minesweepers rapidly returned the fire but it is doubtful whether they hit the submarine, which submerged and disappeared within a few minutes.

An Italian official message states: The battle on the Julian Front has been renewed violently. We captured an important position south-westward of Okroglo. The battle is raging north-eastward of Gorizia We wok prisoners yesterday: 1,088, belonging to ten different regiments. The enemy violently attacked between Castagrevizza, and the Boa. The enemy gained an initial success between Bresto- vizzo Valley and the sea. Our counter-attack re-established the line and yielded 416 prisoners. The battle was partici- pated in by 281 aeroplanes. Our air fleet last night effec tively bombarded Polo and returned safely.
