1-In considering the question as to the sale of the leaf in dispute is conducted in partnership by the ants, the Court finds that "Exi
which plaintiff maintains-10- tract of partnership formed defendants contains" statementá fead-ons to assume such
case, relating to the preparation of the feat, and the sale thereof, or stating that one party un dertakes the preparation and the other the sale of the leaf. But if those men were incorporated in a partnership it would be necessary to pro vide some funds, forming the basis of a part- (Itnership business. In the exhibit quoted, how. ever, no provisions whatever 'are made indi- cating that any such fuad was established. Stipulations are made as to the quantity to be prepared by the producers at Osbima and re gulating the actions of the salesmen disposing of the goods at Kobe, This stipulation merely defines the limit of each party's responsibility. From this it is impossible to conclude that the salesmen agreed to contribute their services to the fund of the partnership as their shares, and the producers to contribute their goods, au their share. On the contrary, Articles 25, 37 and 28. of the contract referred to provide that the salesman shall receive 3 per cent of the value of the goods sold as remuneration for their serv vices. This clearly sbows that the business was not intended to liquidate profit or loss from the result or working for a certain fixed period, It is further stipulated that the value of goods. sold when irrecoverable, has to be regarded as the loss of the producers, which indicates bas yond dispute that the salesmen would be delivered from all responsibilty, for such losse "SEYDLITZ,"
and also that all losses resulting from 'natural informed that their Goods, with the exception esty's uils, will be despatched from this for the producers. In considering the defence of Minamino' and Nomura (salesmen) that they were incapi able of carrying out the contract in conse quence of the plaintif himself hay ng purchased at the producing place the goods contracted for the Court finds that, as the plaintiff pur- chased over 5,980,000 leaves in Oshima, and if the total production for that year was not more than 7,000,000 leaves, as alleged by the defendants, it might be admitted that defens Janis were unable to carry out the contract on. account of plaintiff's action. to do so if he chose. The plea that in de manding delivery of the goods/contracted for plaintiff gave only three days' notice must also be dismissed, because it was agreed to deliver the goods at Kobe, where is situated, the office of the defendants. The plaintiff's' action: In three days' notice was legitimate ha giving foss incurred by plaintiff in consequence of the pon-fulfilment of the contract on their part
It was in October, 1905, that plaintif sent bis agent to Oshima to purchase she leaves. Aty that time defendants' contract was still rupplag and it is therefore impossible to conclude that plaintiff. had to send his agent on account of defendants having failed to cany out the con-
