The following is the report of the directors for the year ended 31st December, 1901, to de submitted to the annual general meeting, to be held at the offices of the general agents on Friday, the 10th day of March, 1903, at 3 o'clock p.m.

The directors beg to submit to the share holders the statement of accounts for 1903.

After payment of an ad interim dividend of Thele 6 per share on 1st September last, the balance at credit of profit and loss account amounts to Tacle 276,679.74.

Property Account has been increased by Taels 131,246,56 representing payments for new godowns and other additions and improve. ments to property during 1902.

The sum of Taels 13,958 95 has been ex- pended for repairs during 1902 but during the current year a considerably larger amount will be required for the same purpose,

Out of the balance at credit of Profit and Loss, viz-Taels 276,679.74 it is proposed to pay a final dividend of Taels 12 per share, thus absorbing Taels 240,000, to place Taels 15,000 to Repairs Account and to carry forward Taels 21,679.74-

In order to meet the expenditure for further additions and improvements to property now being carried out, it is considered advisable to transfer to Building Reserve Account the Lavers was invited to join the directorate. The notice convening the meeting was read, The Chairman-The report and accounts for the last year having been circulated as usual to all shareholders, I presume there is no necessity to read them. You will notice from the Working Account that although the result of the year's

operations cannot be looked upon as quite satisfactory, it shows a decided improve- ment upon the previous year; for while we had to carry a sum of Tis. in 1951 2,453.17 to the debit of Profit and Loss account, we have been able in 1902 10 place Tls. 1,582.66 to the credit of this account. It is with regret that the directors have still to announce that their claim against the British Government for rent of bungalows let for the season 1903, but which by order of the Military Commandant, the tenants were forbidden to occupy, amount- ing to Tls. 3,470, and interest for two years and a-half, remains unsettled, but further steps are -being taken to recover the amount, and, with the assistance of the British Commissioner at Weihaiwei, we trust we may before very long receive payment of our claim, which it is Admitted on all sides is only a perfectly jus and fair one. It will be noticed from the ac counts that nothing has been'written of the value of the company's buildings for deprecia. tion, but these have been kept in'good order, and would probably cost considerably more to build now than figure at which they stand in our book, in addition to which the large area of jand we own, consisting of about 423 mow, has appreciated in value, and is worth much more than the original cost at which it stands valued in pur balance sheet.

For the 'coming season seven bungalows have already been leased at satisfactory rentals, and the directors have every hope of letting the remaining five in the course of the next

month or two. Two are already as good as let

though the leases have not yet been signed.

With regard to the future prospects of the company we look forward with hope to a con- siderable improvement as Weihaiwei becomes better known and its advantages as a summer resort more appreciated, and it is gratifying to know that during the past year further exten- plons of roads have been made; the new road from Half Moon Bay to the Flagstaff Hill has been completed, which favourably affects and greatly improves all our properties. You will doubtless many of you have read with in- terest the prospectus. of the Weihaiwei Gold Mining Co., Ld, which company has been suc- cessfully floated, and if the favourable results, foreshadowed in that document, are realised our company should derive great benefit from the increased demand that will surely arise for permanent house accommodation, and the advance in value of good building sites, of which we possess.quite a large number.

I do not know that there is any further in- formation or explanation that I can give regarding the report and accounts, but before asking you to pass a résolution approving them, I shall be pleased to reply to any questions shareholders may wish to ask.

There were no questions asked and the Chairman moved; "That the report and ac- counts as presented be accepted and passed.”
