presentation at the fourteenth annual meeting of shareholders, to be held on Friday, the 20th February, at 4.30 o'clock p.m.
The Directors beg to present their fourteenth Annual report and a statement of the company's accounts for the year 1902.
The working account for the year shows * credit balance of Tls. 250,913.45 as against Tls, 187,871,3 last year.
After deducting the interim dividend of 6% paid in July, the amount standing at credit of profit and loss account is Tis. 146,569.58 and the directors recommend the appropriation of this amount as follows:-
To pay a final dividend of 6% on the

To transfer to Reserve Fund (being
interest on undeveloped estates) 20,202.76 To carry forward to New Account... 9,366.79
Capital-The further issue of Tis. 650,000, authorised at the Special General Meeting held on 23rd June, 1902, has been completed, but as some of the payments for shares were not made until January of this year, the directors propose to defer dealing with the premium on the issue until the accounts for 1903 are made up.
Will's Estate No. 1.-The increase of capital is due to the purchase of land referred to in last report and further building operations.
Chwong Hoong Estate No. 2-In this case the increase of capital is also due to cost of building, on the completion of which, during the current year, the development of the estate
will be finished.
Jinkee Fstate No. 6.... The buildings referred to in last year's report are now completed There still remains a portion of the property which is lying vacant, but the directors have deemed it wise to defer dealing with it for a little while longer.
Hongkew Creek Estate No. 8.-Purchases, which the directors consider materially add to its value. he been made during the year. These are not quite completed, but it is hoped that before long a beginning may be made in the development of the property.
Broadway Estate No. 10--The buildings
referred to in last report have been for some time completed and are now let at satisfactory rentals.
Pao Shan Estate No. 13-The Directors have spent a further large sum in the purchase of land in this locality during the year, as they feel confident that with the opening up of the New Road, recently arranged for by the Municipal Council, there will be a considerable
rise in land values in this direction.
Shan Tung Road Estate N. 15.-This pro- perty is situated at the corner of the Shan Tung and Foochow Roads and was purchased during the year at what the directors consider was a very advantageous price, considering the réturn it brings in.

the neighbourhoods of Nanning and Kweilin, and that they already hold the principal towns in the districis. Those who do not appose 'or resist their regulations are treated with con- sideration, while volunteer fighting men are well paid. The followers of the rebel standard are consequently fast increasing, and most of the important roads and passes are held bythem. A large sum of money must be backing the movement, and it is no secret that several members of the Imperial forces have found better paymasters by transferring to the out- law side. Moreover, my informant tells me, the rebels are well equipped with Mausers, Winchesters, and not a faw Mannilichers.
The officially reported victories are not only
untrue, but the very reverse of the actual position. The Imperialists have been obliged to retreat na Wuchow. One one occasion the rebel gang, and it is a startling truth that some 700 soldiers retired before about fifty of
the military expeditions have not gained a singie important success. The Governor of Waichow has applied to the Viceroy for troops, which have been despatched. The
official order is that rebels and outlaws are to be executed at once. Trade in the disturbed area is seriously crippled.
News was received in Canton on the 31st ulto, to the effect that the rebels in Kwangsi had seized the important town of Lui-chow, besides other minor places. The Imperial troops sent to suppress the rising were not of much use, and the Acting Viceroy, Tak Sew, dispatched two more battalions, under the joint command of General Tung Sui Nam and Brigadier Ng Cheong Yan. Lui-chow is a flourishing town in the heart of Kwangai pro- vince, and the chief centre-of trade after Kwelin and Ping 10.
A military governor is in charge of the place.

Co Bacon, informs us that he is not yet in receipt of official information regarding the time of General 'Bragg's arrival, but the following in- teresting extracts are taken from the Milwaukes Sentinel of a rerent rate :—
General Edward S. Bragg expects to sail on Jan: zo from San Francisco for Hongkong, to assume his duties as consul-general of the United States, in pursuance of the order of transfer of the State Department, from Havana to Hongkong.... He stated that he cannot
tell anything about the arrangement of the subordinate places in his consulate, and that nothing has been settled. Harry Hobbins, of Madison, who was the general's vice-consul at Havann, was in the city" in conference with his chief. It has been reported that he bas re- ceived the appointment of vice-consulto Hang- kong, but he said as he was leaving that he could not tell whether or not he will accompany
