The Chairman-With reference to the resolu tion which has been proposed by Mr. Wheeler, there is very little to say. With regard to the liquidators I may mention that as a matter of fact the actual work, of conducting these negotiations has been very much more arduous than the carrying on of a company in smooth working order, "With reference to the proposal that the

should retire from the 30th June, and that Mr. Dudgeon should alane carry out the work, I may say we bave considered that this will be the convénient course. For by the end of June the principal work will have been pretty well done, but after that date, from the experience we have had, it will take a very long time to close up entirely. The work will chiefly be the getting in of shares and the payment of the necessary expenses, and the shares will be coming in for a very long period. The Chairman said they had heard the agree ment which was entered into în March last for the realisation of the property of the Company That agreement the liquidators entered into by virtue of the powers vested in them by two meetings, the first on the 16th and the second on the 30th of May 1888. Thuse meetings gave them power to deal with the transfer of the Company, and obtain for it the best price they could. As a matter of fact, therefore, the resolu Lion they were about to put to-day was practically a formality, as the former, meetings gave them power to dispose of the property of the Company in the best manner they could. He might mention, also, that in the liquidators' opinion there was no necessity to have any confirmatory meeting but as the directors of the new Company had expressed a wish to have a confirmatory meeting, and it being such a small matter, the liquidators had determined to comply with their request, and would call a confirmatory meeting for the 14th of next month. He thought there was nothing more, to say, but at the same time he should be glad to answer any questions in reference to the resolution.

Mr. Wainewright-It might be as well to tell the meeting when the shares, in the new Com pany are likely to be issued.

The Chairman-As nearly 'as I can tell you just now, the procedure at the present moment will be as follows: the draft of the Deed assign- ing the property to the new Company is here on the table, and can be seen by anyone desiring to read it. It is a long formal document, and I may mention that it has been approved by the liquidators on the one hand and by Mr. Waine- wright, acting on behalf of the directors down in Hongkong, on the other. It will be engrossed and completed as rapidly as possible, and I think that we can have it ready for despatch by the mail on Saturday night, and assuming that it leaves here on Saturday night it will reach Hongkong on Tuesday; and if it is executed by the new company, a telegram will be sent up bere to us informing us of the fact. I should say that we will be in a position by this day week to sign the transfer papers to everyone exchanging the present scrip for shares in the new company. Immediately we hear from Hongkong that the Deed has been executed we will be in a position to sign the transfer papers to those on the register at that date, and as you are aware a nolice has been published in the papers that the transfer books will be closed on Wednesday next. A shareholder wishing for shares in the new Company will then send his transfer paper to Hongkong and apply for such scrip as he thinks. fit. He may wish to have them in fives, tens or twenties, and I am in a position to inform you that this scrip will be given free of charge the first time. Of course it is usual to charge a fee, but we have telegraphed down to Hongkong and arranged that.

Mr. R. M. Campbell asked in what proportion will the new shares be to the old and how would they manage in the case of people having a number of shares not quite divisable.

The Chairman-Four new shares for one old Mr. Wainewright said it occurred to him while the chairman was speaking that there might just be some little bitch in Hongkong about the stamp laws, which might occasion a delay of a day of two and he therefore would advise the shareholders not to deal hurriedly in the new shares until everything was completed.

The Chairman intimated that he only gave them what he considered was the least possible time to have the new shares ready for issue, bot there might be a slight delay; as for instance if the mail was late,

Mr. Wm. Buchanan asked what proportion of the new shares would be paid up.

The Chairman replied that two dollars would be paid up at once and the remainder later on, The Liquidators of the old Company had expressed to the Directors of the new Company in Hongkong the desirability of placing the other stock on the same footing as theirs, and that the balance of the capital should be called up as soon as possible, and the new Directors repiring upon that point intimated their intention of having the capital paid up at the earliest period.

Mr. Wainewright thought that it might be mentioned that the new company had covenanted not to issue any new shares or borrow any monies until the whole of the capital had been paid up.

The Chairman said that he quite concurred in the desirability of mentioning it. He referred to two passages in the report, one mentioning that there was to be a special guarantee in regard to the shares, and the other stating that some points still remained to be settled. The guarantee referred to was that contained in the third clause of the agreement just read, and he had stipulated on behalf of the old shareholders, that there snust be a covenant by the new Company in the deed of assignment binding the new Company not to lasue any new shares or borrow any money until the unpaid balance of capital, $3 per share,

THE REPORT.

The Liquidators have the following report to make of their work since the placing of the Company in Liquidation en 30th May, 1886.

Shareholders will remember that the meetings proposing the liquidation of the Company of 16th and 30th May, 1888, were held just after the news had been received from London that the Syndi cate influenced by Messrs. T. A. Gibb & Cn. declined to take further action in the matter of the purchase of the Company's property al Selams, and it was mentioned by the Chairman that steps had then already been taken to place the interests of the Company in other hands in London.

These new negotiations with London were carried on until towards the end of the year, when matters were brought to a dead-lock by the refusal of the London Syndicate to proceed further without a full report from an expert on the Company's property, which report the Company itself was called upon to provide. Mr. Welling ton, manager of the Sandhurst Tin Mining Company at Thaipeng, was named by the Syndi. cate as the expert, but as the exhaustive nature. of the report required would have occupied a considerable period and eatailed large expense, neither Mr. Wellington nor the Company were prepared to undertake it.

In the meantime letters had been received from Hongkong holding out prospects of a market being found for the Selama property there, and after much negotiation an agreement was concluded on 13th March giving the refusal of the property for a period of six months to a Hongkong Syndicate consisting of Messrs. C. C. Inchbald, W. Wotton and D. Gillies, the arrange ment being that if investigations of the property new Company enabled the Syndicate to start within the period named, the old Company By Transfer Fees collected.. agreed to sell for a sum of $125,000, payable in fully paid-up shares in such new Company and a special guarantee regarding these shares. While the negotiations were in progress the Liquidators had succeeded in obtaining a preli minary report upon the property from Mr. Wellington, which was of a bigbly satisfactory nature, The report was published and issued to the Hongkong Syndicate; these gentlemen decided upon the formation of a Company at once, which has now been registered under the name of the Selama Tin Mining Company, W. V. DRUMMOND, Limited, and matters in connection with the R. J. FRANCIS, conveyance, of the property are now well E. J. Hose, advanced.
