That on the said 28th day of February, 1901, the Capital be increased from $1,562,500 to $2,500,000 by the issue of 18,759 new fully paid up Shares of 350 each, and that such now Shares he offered at pur to -ovory Shareholder who on that date is re- gistered as such in the proportion of three now Shares for every five Shares of his ro gistered holding on that date, and that if any sach Shareholder shall not take up and pay for his said proportion of new Staros before the first day of June, 1901, the Directors may dispose of the proportion of new Shares not so taken up and paid for at sach prices (not boing less than the pas value thereof) and upon such termas they may in their discretion think it. The Directors may, however, in their discretion, if the spacial circumstances of the case ap- pear to them to render such a course donir- uble in order to obviate hardship tos Share. holder, permit a Shareholder to take up and

pay for the proportion of new Shares to which he would be entitled under this Re- solution, notwithstanding that the aforesaid time-limit for doing so, namely the first day of Jane, 1901, bas passed:
