一九九四年認股權證

於一九九二年五月四日,18,298,934份紅股認股 權證已按每持有十股獲發一份一九九四年認股權 證的比例發行予股東。該等一九九四年認股權證 之持有人有權於一九九二年六月一日至一九九四 年六月三十日(包括首尾兩天)期間內以每股港幣 7元之價格認購本公司的股份。於結算日,所有 未行使的認股權證均已全部失效(一九九三年: 17,984,303 份認股權證尚未行使)。

年內,由於一九九四年認股權證的行使,本公司 以每股港幣7元發行17,475,116 股股份,合共收 取港幣122,325,812元。

一九九六年認股權證

於一九九四年六月十七日,23,317,072 份紅股認 股權證已按每持有一股獲發一份一九九六年認股 權證的比例發行予股東。該等一九九六年認股權 證持有人有權於一九九四年七月一日至一九九六 年六月三十日(包括首尾兩天)期間內以每股港幣 10.2元(可予調整)之價格認購本公司的股份,總 數為港幣 237,834,134元。由於年內曾進行供 股,一九九六年認股權證的認購價已於一九九四 年九月十六日起調整為每股港幣9.35元。於結算 日,共有25,288,057份認股權證尚未行使,總數 為港幣 236,443,336元。

年內,由於一九九六年認股權證的行使,本公司 以每股港幣10.2元發行120.455 股股份,及以每 股港幣 9.35 元發行17,343股股份,合共收取港 幣1,390,798元。

配售新股

一九九四年十月五日,本公司按每持有兩股獲配 一股配售股份的比例,以發行價港幣10.50 元發 行 118,748,706 股每股面值1元的普通股。所收 代價總額為港幣1,246,861,413元。

1994 Warrants

On 4 May 1992, a bonus issue of 18,298,934 warrants was issued to shareholders in the ratio of one 1994 warrant for

every ten shares held. The 1994 warrants entitled the holders to subscribe from 1 June 1992 to 30 June 1994 (both days inclusive) for shares of the Company at a price

of HK$7 per share. At the balance sheet date, all unexercised warrants had lapsed (1993: 17,984,303 warrants were outstanding).

During the year, as a result of the exercise of 1994 warrants, the Company issued 17,475,116 shares at HK$7 each for a total consideration of HK$122,325,812.

1996 Warrants

On 17 June 1994, a bonus issue of 23,317,072 warrants was issued to shareholders in the ratio of one 1996 warrant for every ten shares held. The 1996 warrants entitle the holders to subscribe from 1 July 1994 to 30 June 1996 (both days inclusive) for shares of the Company at a price of HK$10.20 (subject to adjustment) per share, totalling_HK$237,834,134. As a result of the rights issue during the year, with effect from 16 September 1994, the 1996 warrant subscription price was adjusted to HK$9.35 per share. At the balance sheet date, there were 25,288,057 warrants outstanding, totalling HK$236,443,336.

During the year, as a result of the exercise of 1996 warrants, the Company issued 120,455 shares at HK$10.20 each and 17,343 shares at HK$9.35 each for a total consideration of HK$1,390,798.

Rights issue

On 5 October 1994, the Company issued 118,748,706 ordinary shares of $1 each at an issue price of HK10.50,

pursuant to a rights issue made in the portion of one

rights issue share for two shares held. The total consideration received was HK$1,246,861,413.
