3.2.1 Difference between Memorandum of Assocfation

and Articles of Association

The

Memorandum of Association defines the company's power and regulates the company's relations with the outside world.

The Memorandum of Association contains:

a. the name of the company,

b. the registered office of company,

c. the purposes for which the company has been

set up, and

de the registered capital of the company.

The Articles of Association establishes the internal rules for regulating the company. It sets out the relations between the shareholders and the company.

The Articles of Association contains:

a. the rights of different types of

the company will be run.

3.3 Compare and contract the main characteristics of a
