Shareholders in the China Mer. chants', Stean Navigation Company will be paid for their respective shares in Government bonds interest, irres pective of the future business done by the company, according to an official statement made to a representative of the Shanghai Sunday Times, regard Ing the Government's proposal to assume full control of the company,

An official of the Company sald that the name of the concern will be changed at an early date, as "China Merchants" will no longer be applicable to Government-owned enterprise. He explained that the majority of the Company's share holders were Chinese merchants of Shanghai, and southern ports whose control of a big shipping concern like the China Merchants was thought by the Government to be undesirable, owing to their diversified interests..

Case of Emergency.

He went on to point out that the decision of the Government to assume control of the company could not be said to indicate n desire by the Gov- ernment to control private shipping interests in China. He said the case of the China Merchants was purely are of emergency, the Government having concluded, after long ex perience, that the shareholders of the Company could not adequately 'con- trol the destiny of such a big and heavily capitalized concern.

In taking over the company he said, the Government had fully con- sidered the shareholders, who would be allowed to redeem their shares at par in Government bonds. He did not say whether they were long or short term bonds or explain how they! would in turn be redeemed.

Questioned regarding the inrge outstanding loans of the Company the official said that in taking over the China Merchants, the Government would undoubtedly accept full res- ponsibility for all its liabilities.

In this connexion an interesting legal problem arises. Where the com- pany could formerly be sued 'in Chinese court in its new status as a subordinate department of the Gov. ernment, it would be exempt from the jurisdiction of the Chinese courts. Hence, claims against the. Company, if any, must in future he negotiated through the usual diplomatic chan- nela.

The official next stated that no new name had yet been selected for the Company, but that there was no question that its gume would be changed at an early date.

Seized Shares.

Nanking, Oct. 26. Interviewed in regard to the pro- posed conversion of the China Mer chants 5. N. Co. into a State enter- prise, a spokesman of the Ministry of Communications pointed out that the total value uf the shares held by private persons was 'about Tls. 8,000,000, of which shares the value of about Tls. 3,000,000 had already been confiscated by reason of the holders having accumulated their wealth through pecalation of public funds. The total liabilities of the company amount to Tis. 14,000,000, against which the company has assets of Tis. 40,000,000,-Kuro Min.
