The Pacific Mail Steamship Company,
The directors of the Paciflo Mail Steamahin Company, which recently sold five of its ships to the Atlantic Transport Company for $5,250,000, called a special mesting of stockholders in New York on September 22, to vote apon a proposition to reduce the
capital stock from $20,000,000 to $1,000,000, ao as to permit a distribution of assets among the stockholdere. The plan pro- vides for a reduction in the par value ofthestock from $100 to $5, leaving each stook holder with the same proportionate ownership as before. An official statement said:"The act of Congress up- proved March 4, 1915, generally known as the Seamen's Act, be- comes effective November 4, 1915, as to vessels of the United States. The company cannot continue operations under the terme of that
Bot
without incurring heavy losses. Figures show that the sot would increase the expenses of your trans-Pacific Beet as so the items of wages and feeding crows alone by $640,805 per ennam, other provisions of the aot relating to lifeboat crews and to your Central American line woald swell this amount. The abnormally large surplus in 1915, due to higher rates following the withdrawal of Canadian Pacifio and Japanese steamers, in con- sequenos of the European war, would not suffice to meet the in- crease of wages and feeding ex- peases the sot will demand. The directora are forbidden by law to pay dividends out of earplus pro- fits or to divide any part of the company's capital among the the distribution of moneys as a stockholders. In order to permit
dividend to atcokholders a reduc- tion of the company's ospital stook is deemed advisable, The company still owns eight steamships. It was officially an- nounced that these will be sold as soon as a satisfactory pur- chaser can be found.
