DIFFERENCE BETWEEN PRESENT
AND PROFOSED LAW,-
MEMORANDUM BY THE REGISTRAR.
"A mamorandum, on the differences between the provisions of the Companies Bill and The Companies (Consolidation) Act, 1968, by Mr. J H. Kemp waslaid before the Legislațiva Oesseli this afternoon. The memorandum 'shows the „diferenca between the provislou sof the Bli and "those of the Companies (Consolidation) Act, ©19-8, of the Imperial Parliament on which the- Bill is based, and infers specifically to every clause about which there is likely to be any controversy. Other changes are treated gan- efully. We quote the following extracta ;— ¦
The sections in the Act, and the correspond- Ing clauses in the Bilf, are given at the end of sich paragraph or sub-paragraph.
The changes have been made chiefly on account of the following-
(a) The existence of the "Shanghal Com-
panier"

- SHANGHAI COMPANIES.
A great miny of the companies registered in Hongkong ata cómpaolos, which transact all thale business outside the Colony, Most of these "Compiniai have their head offices cíther nt. Shangbai or at Tientsia. They bara no office here for the transaction of business, and' their directors and officers and all their property are out of reach of the jurisdiction of the Hongkong courts. Under thess circumstances, control' over them is difficult, and it is found lo pratilce that some of them ara very dilatory and megli- gent in complying with the provisions of the law In order to strengthen our control over these ́companies a number of provisions have been Introduced into the Bill which do not exist in the Act because the difficulty has bever become scale in the United Kingdom. Other provi sions have been inserted in order to meet the convenience of these companies; these have been rendered necessary by the time which letters take to reach Hongkong from Shanghai, Tientsio, o C., and by the fact that different newspapers circulate in those ports. One pro- vísico, which is adopted from previous législa flon, ie,, Ordinance 16 of 1907; as amended by Ordipan a 10 of 1909, is the result of a compromiso between the rival claims of the Hoogkong Government and the extraterritorial authorities at Sbangbal to collect probate or estate duty on the shares of theso "Shanghai Companies." All the special provisions re- ferred to are enumerated below.
CHINESE LANGUAGE and CUSTOMS. Some special provisions are introduced in order to meet the requirements of the Chinese language, and one provision in pmitted os ́account of the expected attitude ohio Okluose- towards it. The following are the details :-
(a.) Chinese Names. It is well known that Chinese individual and place names aro

(4) Chiness Equivalent of "Lim ted Com-

better to adopt the servico rifle, and be in the shooting. The President said that it would be
same position as the military.
