After the chief manager had read the notice convening the meeting the Chairman, spoke shareholders in this banke, both ordinary and as follows Gentlemen-This is a meeting of founders, and the directors trust that the re- solution which I will shortly propose will meet with your unanimous acceptance. The position has been clearly put before you in the circular calling the meeting and to reca pitulate it briefly is as follows:-When the Bank was started, exchange was over three shillings per dollar and the capital was laid down in the East at an average of three shil- lings, but as exchange has now reached a much lower level, having even touched 18. 6d. it has been felt that the capital should be writ: ten down to a true basis, and it is proposed to ask the court in London to allow us to
do so.. I would here point out that until we take this step it would be impossible to raise fresh capital should we desire it. Un der expert advice i London we propose tak ing the capital at ts. 8d., and this, with the addition of the balance on 31st December ordinary reserve, will bring the shares to 5 last and capital reserve fund and part of the

as the
submit to you a statement of assets and liabilities as on 31st December, 1993, drawn up so as to give effect to the proposed reduction of capital, which put the position of the capital account as it will be if passed by you and the court. The only other item ältered is that our sterling securities have been altered to 18. 8d. and the difference shown as an addi- tion to the reserve fund-this is practically only a book entry to put the sterling investment on the same basis sterling capital, of which it naturally forms a part. We hope to approach the court on the mätter next month so as to be able to declare our dividend as usual in January next, as if not put through the court promptly, we cannot en- tertain the declaration of a dividend until our application is accepted or rejected by the court. Should this resolution be passed by you we propose calling the confirmatory meeting for Saturday, September 24th, at noon. I bave now to come to the abolition of the founders' shares: they at present are worth nothing, because we acknowledge to a loss of ca. pitot by the fall in exchange, and by our articles of association the founders' shares are the first to bear such loss and are therefore absolutely wiped out, but in the meeting of ordinary shareholders to be held subsequent to this it will be proposed to pay the founders the par value of their shares-this we deem a very fair proposal, as the founder gets £t for what is at present worth nothing, and at the same time it is worth the while of the ordinary share holder to do this so as to extinguish the right of the founder which might stand in the way of our raising additional capital should we ever desire to do so; in fact, it is a fair and reason- able compromise and solution of a difficulty with which we feel sure the bulk of you would readily agree or we would never have brought it before you. The resolutions are in your own in- terests and we leave the decision in your hands,
I may mention that we have received proxies for the resolution 15, 497 ordia- ary: 379 founders and against, 49 founders and 88 ordinary, I have now to propose the resolution as follows: That the capital of the company be reduced from £1,000,000, divided into 750 shares of £1 each (founders shares), and 99.925 shares of £10 each, (or- dinary shares) to £693,475, divided into 99,925 shares of £7 each, and that such reduction

THE DISINFECTION OF SHIPS.
We have frequently alluded to the Clayton ippartus for disinfecting ships, and now able that the following reply to the Government in- quiry, submitted at a recent meeting of the Chamber of Commerce regarding the process was read to the Committee on the 16th ult.
"Hongkong General Chamber of Commerce, 15th August, 1901, SIR, I have the honour to acknowledge re-

cal world touching the possible results of his Dr. Loeb gave a hint of interest to the medi- biological experiments as relating to the form ation of tumor on buman beings. On this topic ba dwelt briefly, asserting that it might be shown that the growth could be conquered Professor Loeb suggested there might be an analogy between the embryo sea life which he is investigating and the embryo of the tumor. It was in the course of a lecture on artificial parthenogenesis this evening in the stud. ents' observatory at the University of Cali- fornia that Dr. Loeb gave out the suggestion that the day might come when death will not be the end of all human existence. The scien experiments have developed that in the eggs of tist takes this advanced ground because his
some animals, at least there is artificial state in which they die, in which death is not caused by external causes, but by internal causes, and this is bound to be true when the fertilization of the eggs by sperm or by artificial means saves the life of the egg. Said Dr. Locb.

DEVELOPMENT OF EGGS.
The eggs of the animal live when they ate fertilized under certain conditions. The eggs are developed by these processes, some form more rapidly than others. The treatment brings about a change in the egg, which is equivalent to saving its life. This fact, I wish to say, bas an important bearing on the problem of natural death. We really have no right to speak of such a thing as natural death. We usually

And in this connection the question arises whether it is possible to prolong life. Experi ment shows that there is a period in the life of an egg when it is in a critical state and likely to die unless it is treated. For instance, the egy of the starfish when taken from the ovary are is a rule not all mature. Some of these Re-immature eggs maturato in the water, but others do not. Now we find that the eggs that are mature die if enough oxygen is present in a comparatively short time, a few hours, day, while the immature eggs may live for days and the eggs that are fertilized may live for weeks, months and years. It can be shown conclu sively that the death of the, mature eggs is due to intemal processes and not due to bacteria. These processes that lead to the death of the mature eggs are prevented by the entrance of the spermatozoon or by the treatment of the ogg with carbon dioxide,

NEED FERTILIZATION,
We have found that there is a distinct differ- ence between the mature and immature eggs of the starfish. In the immature eggs there is no nucleus, such as may be clearly seen in the mature eggs. In case these eggs are not festi. lized within three or four hours after birth they turn black and become a prey to bacteria in water. The mature eggs live, we have found, for seven days, and they can be developed very rapidly if the water is supplied with a small amount of alkali or oxygen.

Kongmoon, ist September. The new Custom's station at the recently opened Treaty port at Kongmoon had an ex- citing time during the last werk, and what
might have been a very serious affair has happily just terminated by the prompt action of the Europeans in consort with the Chinese military at this port Report has it that while the Cor- tom House officers were about their usual business on Monday last a Chinese passenger off one of the small steamers fell from the Cus tom's examination pontoon and was drowned. The Chinese runners incited the passengers and native peoples in asserting that the man was knocked off the pontoon by à Custom's officer and a great deal of unpleasantness ensued in which the officers had to retire to the Custom House, cers had to retire
Reliable information reached the Custom House next day that a mob of 500 Chinese were going to wreck the building and do bodily barm to the officers. The authorities imme diately sent to the nearest Naval base, Chu Tan Shan, for adțitional guards and guard boats, and it was owing to the prompt arrival and action of the Chinese guards that a serious rict was probably averted

least so far as ships were concerned, as in the | apparatus could be usefully employed here, at
first place the use of the apparatus would VENICE and TRIESTE, all MEDITER inevitably involve the detention of steamers, and consequent heavy expense; and in the second place it would be impracticable, because in most cases vessels calling here have large quantities of cargo on board for ports beyond this. There would be few ships on which it could be used without gren ly interfering with trade and incurring great expense to the ship- owner and possible serious loss to the owner of the goods on board.
On further consideration, and after allowing for the presumption mentioned in your letter
o insist on quarantine restrictions in cases under.reply that other parts would be unlikely
where vessels had been fumigated by the Clayton process, the Committee fest compelled to adhere to their previous opinion.
I am to mention that the Port Health Officer of Singapore does not state under what condi- tions the apparatus is used nor the number of ships disinfected and in view of the great variety of Chinese foodstuffs and general mer- chandise arriving on vessels calling here on the way to other ports, the shipping companies would be very chary of risking loss through damage to cargo by the S. O. 2 Gas, and further they would probably find that in cases where the ships are not empty when fumigated, dead rats under the cargo would cause much inconveni- ence before the vessels arrived at their destina- tions, as great difficulty will be experienced in getting the pipes right down' underneath the cargo in a full ship in order to effect thorough fumigation and thereby compel the rals to come up on top of the cargo,
The committee, however, see no objection to the purchase of a machine provided its use is confined to extinguishing fires on board ships, for which it is eminently suitable, but they question whether such fires are frequent enough to justify the maintenance of the necessary barge and staff. In any case the Committee of the Chamber do not consider that the cost of the apparatus should be met by levying a fee desire to make use of it is entirely voluntary on the vessels in which it is used, unless the and not influenced by threat of quarantine res trictions.
It will be noticed that the Committee, ack- ❘nowledge the usefulness of the Clayton ap: ¦ paratus for fire extinguishing purposes, and are also inclined to view with favour its method of fumigation when applied to ships free of cargo. Probably the Government is already aware that one of the shipping firms already possess a fully equipped Clayton machine and others are likely to follow suit should sufficient use be found for
thai, for the present, the matter had rather be t in this part. It therefore appears desirable
