where" inserted in clause 3 section (a) line of the said Memoranduni of Asso- ciation between the words to carry on? and the words "the business.nf 2.-With the mumber 5 placed before the last clause in the said Alemorandum of Association heginning "the Capital of the Company

and with the latter portion of such clause beginning with the words "with power to divide" down to the end of the clause climinated. 3.With the words "as the General Meeting resolving when the creation thereof shall direct and if no direction be given “in- serted in Article Number 37 line of the said Articles of Association between the words annesed thereto" and the words as the Directors shall deter- mine."

And that pursuant to the Provisions of the Ordinance 1890 the form of the Company's Companies (Memorandum of Association) Constitution be altered by substituting such objects as therein set forth (after making the Memorandum of Association with extended before mentioned alterations therein) and such Articles of Association (after making the before mentioned alteration therein) for the- Company's, Deed of Settlement dated the 29th of August, 1863, and for all Regulations of the Company subsequently made and now in force. and that the Directors be authorized to apply to the Court to confirm this RESOLUT under the said Ordinance."
