SEVERAL extraordinary decisions were given by Mr. Robinson, at the Police Court this morning, but among them was one which is worth preserv ing. A young Chinese was charged on remand with entering the cabin of, u. lady-passer ger on the Tsinan, when on the voyage from Australia to Hongkong. On the night of the 4th inst. the young lady was awakened as the lay in her berth, and saw the prisoner 17oking into her face, She screamed, and he was promptly arrested. He had no defence to offer, except to blankly deny the charge. And this yellowruffian was addressed în these milk-and-watery terms-terms which do more honor to Mr. Robinson's legal knowledge than to his sense of justice :-The law does not punish for intent to do evil. Only when found in a dwelling house or building can a man be punished, if he is there with felonious intent. The defendant was found in a certain part of the ship. He had not right to be there, I am not prepared to hold that a ship is a building, and I cannot therefore find that anything is proved against him. However, I have the power under a special Ordinance to bind him over-a power which I think should be sparingly used, except in such cases as this. There is no doubt that he was in the lady's cabin with a wrong intent, and if it had been in a dwelling-house he would have been guilty; being on board ship I am bound to acquit him, I think. Mr. Francis' third objection is that if a large majority wish to widen the range of the Com pany's operations the only safe proper and legal method is reconstruction voluntarily or by Ordinance. I think that the statement that is implied by this is that the course adopted by the Directors in this matter is illegal, and this state mentis 1 think incorrect. Mr. Francis fourth objection appears to be repetition in different langurge of the argu- iment contained in the third objection and the statement reit rated that interested in the Campany would like to see its most people constitution altered or the thing wound up, is answered by the observation already made that if this i. the opinion of "most people interested," (ic shareholders) it is clear the Directors will fail to carry the special resolution which is necessary before the ordinance can take effect unless the proposed alteration of constiullion meets with the approval of the shareholders.

Mr. France fifth objection is that the ordinance has been passed through the Council without adequate notice to the public of the shareholders, who are to be found in England as well as in the East In the event, however, of the Directors, taking the usual and proper steps to give full notice and ample time to the shareholders to consider the whole matter fully before attending the meeting at which the · pecial resolutioa must be proposed, there would not appear to be any substantial grievance.

Mr. Francis' sixth objection is that "even if it desirable to extend the powers of the Company the extension sought for is far too wide and unlimited," No reason is given in support of this statement, which appears simply to be Mr. Francis' opinion, and which he will have an opportunity of expressing at the meeting; and if many of the shareholders agree with him the special resolution' will not be carried and the ordinance will not come into force,

Mr. Francis' seventh objection is a repetition of the commencement of his letter and states that the ordinance is in direct violation of the existing Imperial and Local law on the subject of Companies, and is in his opinion entirely beyond the powers of a local and limited Legislative Assembly like that of Hongkong, He also states that "Colonial Legislatures have really very limited powers. &c., It appears to me that the phrase "direct violation is too strong a statement. The alteration of the fandamental objects of a Company by means of an Ordinance is as I have stated, an unusual contse but if the ordinance itself should be approved by the shareholders and after being duly passed by the Council should be assented to by the Queco, it simply becomes law, and cannot be a violation of law, and moreover as already mentioned such a method of alteration appears to be consistent with the spirit of the Imperial Parliament so far as it has been ascertained up to the present date. It is there- fore not unreasonable to assume that such an ordinance as the one in question will receive the necessary consent.

In the case for opinion submitted to me I am asked to examine the letter dated the toth inst. and addressed by Mr. J. J. Francie, QC., to His Excellency the Offices Administering the Government, and to furnish to the Company my observations upon such pofols as appear to be of importance.

Your Directors regret that the year 1888 did last meeting, and that it has necessitated, not not result so favorably as was expected at our

only writing back the appropriation made to the Reserve Fund, but that a further sum of about $15.000 had to be taken from Reserve..

I would here call your attention to the clauses of the Articles of Association, which deal with the Company's profits. When these Articles were first drawn up, it seems to have been taken for granted that there world always be a sufficient surplus to provide a large dividend, to place a sum to Reserve, and to make a return to sup- porters, in the shape of a bonus on their con- tributions. If the competition bad been less expectations would have been fulfilled. As it is, severe, and the rates maintained, doubtless those the shareholders in this Company, like those lo many may say in most, of the other Com- panies, have to recognize the fact that profits now-a-days are not so easily made over insurance business and that in receiving a dividend of to per cent per annum for the past six years, the shareholders in the Straits Insurance Company have been considerably more fortunate than many of their competitors. Whether this will continue remains to be seen, but your Directors have resolved on taking this opportunity of men- tioning that they do not propose to declare an interim dividend in f ture. These declarations may have been justified in the past, but your Directors' feel that they should not be called upon to assume the responsibility which an interim Dividend may entail, and that in future, 'nọ Dividends will be declared, except at the annual meeting of Shareholders,

Your Directors also wish to reinark that it may be fourd advisable later on to recommend the alteration of the Articles of Associa fun in the same manner as was done in the Straits Fire Insurance Co. Lid,, and declare the rate of Dividend annually, as well as the other returns, as soon as the results of the year's underwriting have been more clearly defined than is possible within three months or four months after the

close of the terms,

The Articles at present provide that before making any return to the contributors, some portion of the balance of working account must first be placed to Reserve, but as it is certain that the suporters of the Company will not wait an indefinite time for their, Bonus, an estimate can only be made in advance, of the probable profits, which subsequent experience may prove to be prematurely tande. This year a very moderate amount has been set aside for both Bonus and Reserve so as to prevent as much as possible any reduction in the fund later on.

About our Mortgages I have to remark that Mr. Crane a few weeks ago made a thorough revaluation of the Company's investments. Owing to the great depression of real estate one or two of our Mortgages have approached very near to the value of their security, but in general I am glad to say that cur investments are per- fealy safe.

In the meanwhile things are going on here slowly but surely. We have got a laconiotlove put together here at Kelung and ready for use at this end of the Railway and we expect soon to see the ballast trains start. The line has been opened to another station, Pea Ka, south of Sin Ching; it now runs regularly to two station on each side of Taipeh-poo.

I hear on good authority that an influential firm has offered to dredge the inner harbour to a certain depth if allowed to make use of the ground, a sort of stiff, clayish stud, and acquire the land that would be formed thereby on the inner shallow places near the Railway Terminus. This offer has not been accepted, but as near 63 1 can understand, it has to a certain extent opened the eyes of the Government in such a way that it will soon take the work in hand it... self; at all events we look hopefully to the fature, especially at we know that everything is in favour of making our small place an important port, being the best outlet for this fertile and rich island, when the railway is finished and the inner harbour is made deep enough for heavy steamers to go into it and work in smooth water.

A telephone is about to be established from Anping over Taiwanfan. (Taiwanioo) to Takao, as I hear that a sufficient number have sub.. scribed to it. Itill be constructed by Mr. Hansen, the Telegraph Engineer, on the Government account.

We have had or great deal of rain lately on this side of the island,. It astonished us to hear some time ago, that they seemingly had sarcity of water in Hobic, only 30 miles from here. I can only say that we have quite water enough, both for internal and external use.

3rd April, 1890. The river is rapidly silting up again, and even the Poochi is reported as having stuck in the Nine Fort Reach. That the Spring freshets are swelling the Yellow River is proved by the fact that of late the Grand Canal is pouring vast quantiles of muddy water into the Feibo.

The dredgers ordered from the French Syndicate for work on the Yellow River are now ready to begin operations; but it now appears the dredging is to take place far up the river instead of at its mouth, which will be labour in vain, unless the banks of that terrible waterway are first restored.
