Mr. J. H. Cox-As one of the auditore I would call your attention to the item on the debit side of "share account-$15.479." Thuring this last audit we auditors observed that the account had been increased by the purchase of $1500 worth of "Watson's shares, and by payment of a second call on some other shares, amounting altogether to $700. It occurred to me to inquire why the directors had bought these shares, seeing that the Company had no funds of its own, being always in debt, as it has been for some years. I referred to the Articles of Associa tion--which I bad not deemed it necessary to do before, as I never thought the directors would go beyond their powers.
Mr. Henderson proposel, and Mr. James seconded, that Messrs. McCulloch and Jones Hughes be re-elected directors, and that also was passed.
The Chairman-The only other business- Mr. Cox-The auditon-they have to be elected for the half-year. I offered myself for re-election, but it has not been put in the report. The Chairman-Well, if any one will propose and second, you I shall be very happy to put it to the meeting.

Mr. W. H. Forbes presided, and the Hen, J. I Keswick, Messrs. B..Layton, L. Poesnecker, S. C. Michaelsen, H. Hoppies, E. L Woodin, F. Dadwell (directors). D. Gillies (manager), T. Arnold, W. H. Ray, H. Hum hrey, H. E, Allan, A. P. Nobbs, and E. K. Chandler, was present.
The Chairman formally moved the alteration of the rules, sertatim, Messrs. Arnold, Hem- phreys, Allan, and Ray seconding. They were all agreed to, and, the Chairman having an- pounced that a confirmatory meeting would be held on the 24th, the proceedings ended.

Mr. Cox--I am acting for the shareholders. The Chairman-But you are a shareholder. Mr. Cox-Yes, and I am auditor.
Mr. Ho Tung-I will propose that the di- rectors be in future requested not to buy any more shares, and that as soon as there is an opportunity the shares now owned be sold, and the money restored to the Company.
The Chairman-That has already been agreed on-as soon as it was brought before the notice of the directors. You see this thing has been passed over for a long time, but as soon as' they were informed of it they at once came to this determination.
Mr. Ho Tung-Then you will not buy any more? I see that the costs in the recent action have not been ascertained-is there any money laid aside towards them?
The Chairman-Yes, there are $7000 carried forward. We don't know even yet what it is.
Mr. Cox-I should like to ask, on behalf of the shareholders, what this itemt of nearly $4000 in the Contingency Account is 7
