立董事委員會在考慮過重建該兩項物業

所需之資金以及有關該兩項物業之獨立

專業估值後,認為接納新鴻基主動提出

收購該兩項物業之建議是恰當的。該兩

項交易於一九九四年一月四日舉行之特

別股東大會上獲獨立股東通過,並於同

日完成出售觀塘物業之交易。關於出售

葵涌物業事宜,則地政總處處長及/或

其他有關當局正在處理中。

有關該兩項交易之詳細資料通函已於一

九九三年十二月十七日派送予各股東
