Associates of Messrs. Walter Kwok Ping Sheung and Raymond Kwok Ping Luen were substantial shareholders of Sun Hung Kai Properties Limited which beneficially held directly or indirectly 120,158,306 ordinary shares in the Company.

Mr. Lawrence E Louey was a substantial share- holder of three private companies which together beneficially held 80,341,838 ordinary shares in the Company.

Messrs. Ng Siu Chan and Ng Kwan Wai were substantial shareholders of a private company

which beneficially held 1,249,533 ordinary shares in the Company.

Mr. Yu Shu Chuen and members of his family together have an interest in certain "tongs" which

beneficially held 951,671 ordinary shares in the Company.

INTERESTS IN CONTRACTS

No contracts of significance to which the Company was a party and in which a Director of the Company had a material interest subsisted at the end of the year or at any time during the year.

ARRANGEMENTS TO PURCHASE

SHARES OR DEBENTURES

At no time during the year was the Company a

party to any arrangement to enable the Directors of the Company to acquire benefits by means of

the acquisition of shares in or debentures of the Company or any other body corporate.

一、郭炳湘先生及郭炳聯先生之有關人士為新鴻基 地產發展有限公司之主要股東,而該公司直接或間 接共實益持有本公司普通股股份120,158,306股。

雷覺坤先生為三間私人公司之主要股東,而這些公 司共實益持有本公司普通股股份80,341,838股。

三、伍兆燦先生及伍均惠先生均為一間私人公司之主要 股東,而該公司共實益持有本公司普通股股份 1,249,533股。

四、余樹泉先生及其家庭成員所擁有之若干團體“堂”

共實益持有本公司普通股股份951,671股。

合約權益

本公司並未參與簽訂任何重要合約,使本公司董 事於本年度完結之日或在本年度任何時期内享有 重大利益。

認購股份或債券之安排

於本年度任何時期內,本公司並未參與任何安排 使本公司董事得從認購本公司或其他法人團體之 股份或債券以獲取利益。
