That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the company be wound up voluntarily and that Mr. E. LUER of Tientsin, China, be ap- pointed Liquidator for the purposes of such winding up.

OTTO KLEEMANN AND COMPANY, Taku Road Tientsin, the liquidator of the said Company, and if so required by notice in writing from the said liquidator, are personally, or by their solicitors or duly authorised attornies to come in and prove their said debts or claims at such time and place as shall be specified in such notice, or in default thereof they will be excluded from the benefit of any distribution made before such debts are proved.

Tan Extraordinary General Meeting of the Members of the above-named Com- pany, held at 11, Peking Road, Shanghai, on Tuesday, 23rd September, 1913, the following Extraordinary Resolution was duly passed :-

That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that the appointment of a liquidator or liqui- dators be left in the hands of its creditors or a committee of such cre- ditors with power of supplying vacancies amongst the liquidators.
