THIS AMENDMENT NO. 6 is made as of the "Date of Acceptance" set forth below by and between THE GOVERNMENT OF HONG KONG as represented by THE DIRECTOR OF GOVERNMENT SUPPLIES of Government Supplies Department, 12, Oil Street, North Point, Hong Kong (hereinafter referred to as "the Government") of the one part, and UNITED TECHNOLOGIES CORPORATION, Sikorsky Aircraft Division, a company incorporated and existing under the laws of the State of Delaware and having its office and place of business at 6900 Main Street, Stratford, Connecticut 06601-1381 U.S.A. (hereinafter referred to

as the

"Seller") of the other part.

WITNESS ETH

WHEREAS, the Government and Seller have entered into one Fixed Price Sales Agreement No. 76T10510 (Government Reference Sikorsky Contract C001/89) dated the 4th day of April, 1989 and relating to the sale and purchase of S-76 helicopters and related equipment and services (hereinafter referred to as the "Agreement"); and

WHEREAS, the Government and Seller desire to amend

amend the Agreement to the provide for

sale and purchase of the Sikorsky S-70A-27 Utility Helicopter, and related Equipment and Services, and, to provide for the appropriate revisions to the Agreement to incorporate Sikorsky S-70A-27 Utility Helicopter terms and conditions of sale consistent with this Agreement.

NOW THEREFORE

In consideration of the premises and of the mutual promises of each party to the other herein contained, the parties hereto mutually agree to the following:

Clause 1. DEFINITIONS AND INTERPRETATIONS is hereby amended to change the meanings specified and following words and expressions:

"Agreement"

"Delivery"

"means together the Terms and Conditions set forth herein, the Specification, the S-70A Specification, the Equipment List, and the Services List, all amended as set forth herein."

"means, in relation to each Aircraft; the passing of title and risk of loss of such Aircraft on the date(s) specified for delivery in Schedule 2 in either Seller's facility in West Palm Beach, Florida, United States of America or Stratford, Connecticut, United States of America in
