THE USE OF SOME WORDS AND EXPRESSIONS IN COM-

PANY NAMES IS COVERED BY OTHER LEGISLATION AND

THEIR USE MIGHT CONSTITUTE A CRIMINAL OFFENCE.

Examples of such words and expressions that are

known to the Department are listed in Appendix C. In

such cases there is no point in asking the Secretary of

State for approval. You could however write to the

appropriate body for evidence that your choice of name does not contravene any legislation, and you

should consult a solicitor, if you want to use one of

these words or expressions. As a first step you should

seek the advice of Companies House at Cardiff or

Edinburgh, as appropriate, about names which contain

any of the words or expressions listed in Appendix C.

HOW DO I REGISTER MY COMPANY NAME?

If the name you have chosen is not the same as one

already on the Index, and provided that it does not

need the Secretary of State's prior approval, you should send your incorporation documents, or special resolution when an existing company is changing its

name, to the Registrar of Companies in Cardiff (for

English and Welsh companies), or Edinburgh (for

Scottish companies). If the name is acceptable within

the provisions of the Companies Acts, as described in

this booklet, and your documents are correctly

completed, the name will be registered and a certifi-

cate of incorporation will be issued. More information

about incorporating companies is available in (CHN1)

"New Companies" and in (CHN4) "Change of Name".

If the name that you have chosen gives the impression that your company is connected with HM Government

or with a local authority you will need the written

approval of the Secretary of State before the name

can be registered. If you do want to use a name which

you feel may fall within this category, you should write

to the Secretary of State at Cardiff or Edinburgh, as

appropriate, giving as much detail as you can to

support your application.

NAME

WHO CAN DIRECT A COMPANY TO CHANGE ITS NAME?

The Secretary of State has statutory powers to direct a company to change its name in certain circumstances.

WHEN MAY A DIRECTION BE ISSUED?

A company may be directed to change its name within 12 months of its date of registration if it is, in the opinion of the Secretary of State, "too like" a name. appearing (or which should have appeared) on the Index at the time of its registration.
