CHINA GREAT WALL INDUSTRY CORPORATION, a company registered under the laws of the People's Republic of China, having its head office at 17 Wen Chang Hutong, Xidan, Beijing, China, Tolex No. 22651 CGWIC CN, Facsimile No. 861 8311809

(hereinafter referred to as "CGWIC").

WHEREAS the Client is engaged in the business of providing telecommunications services by satellite and desires to obtain launching and associated services for a satellite from CGWIC;

WHEREAS CGWIC provides launching and associated services utilizing launch vehicles of the Long March family at the Xichang satellite launch center in China to governments and private entities and is willing to provide such services to the Client in accordance with the terms hereof;

WHEREAS the Client and CGWIC entered into a Launch Opportunity Reservation Agreement dated June 17, 1988; and

WHEREAS pursuant to such Launch Opportunity Reservation Agreement, the Client and CGWIC have agreed that CGWIC will provide launching and associated services to the Client upon the terms set forth in this Contract;

NOW, THEREFORE, CGWIC and the Client have agreed as follows:
