In our respective capacities as general counsel and deputy general counsel of Deutsche Bank AG we render the opinion expressed below regarding the merger of

Deutsche Bank Aktiengesellschaft (Deutsche Bank AG) and Deutsche Bank (Asia) Aktiengesellschaft (Deutsche Bank (Asia) AG). We are qualified to practice law in the Federal Repu- blic of Germany and we do not purport to be experts on, or to express any opinion herein concerning, any law other than the law of the Federal Republic

of Germany.

Based upon and subject to the foregoing, we are of the opinion that:

Deutsche Bank AG is holding 100% of the share capital of Deutsche Bank (Asia) AG, both companies being organised under the law of the Federal Republic of Germany and having their registered places of business in Frankfurt/Main and Hamburg, respectively. After the necessary corporate resolutions and all other legal steps will have been taken Deutsche Bank (Asia) AG will be merged into Deutsche Bank AG pursuant to Sections 340 and following of the German Stock Corporation Act,

The effect of this merger is that with its registration in the Commercial Re- gister at the registered place of business of Deutsche Bank AG in Frank- furt/Main (which takes place after the legal conditions of the merger have been met) all rights and obligations of Deutsche Bank (Asia) AG automatically pass to Deutsche Bank AG without any further steps being required. In particu- lar, this means
