With regard to paragraph 1(d), KMB shall, to the satisfaction of the Commissioner (with the advice of the Commissioner of Labour), ensure that its employees' terms and conditions of employment are adequate
to attract and retain a sufficient number of competent drivers,
.mechanics and managerial staff to operate the services under the
franchise. Without prejudice to the generality of the foregoing,
KMB shall comply with such directives as may be issued by the Commissioner
(advised as aforesaid) from time to time in relation to the matters set
forth in the 4th Schedule hereto.

With regard to paragraph 1(e) hereof, the parties hereto agree that
the management structure of KMB requires re-structuring in order to
ensure optimum efficiency in the proper operation of the franchise.
The precise method of such re-arrangement will be the subject of
continuing discussions between KMB and the Commissioner, but in general
terms it is agreed in principle that the management structure should be
in accordance with the principles set out in the 5th Schedule hereto.

deviation from the terms of this Memorandum of Understanding (including

excuse shall constitute a failure to maintain a proper and efficient
public omnibus service within the meaning of section 12(1) of the Ordinance.
It is understood and agreed by the parties hereto that, notwithstanding
the terms of a letter dated 1st Beptember 1975 (reference CTC 113/8 (67)
from the Commissioner to the General Manager of KMB, the operation of a
public omnibus service on new routes may be granted to any company
other than KMB at any time.
