(d) working conditions of KMB's employees so as to ensure that KMB

can attract and retain a sufficient number of competent drivers,

mechanics and managerial staff; and

(c) establishing a management structure of KMB to ensure that there

is a proper chain of command and a proper definition of duties

of the managerial staff within the company.

With regard to paragraph 1(a) hereof, it is agreed by the parties hereto :-

(a) that the omnibus acquisition and scrapping programme between the

30th June 1979 and the 30th June 1981 shall be in accordance with

the 1st Schedule hereto;

that the spare parts acquisition programme shall be in accordance

with the principles specified in the 2nd Schedule hereto.

The omnibus acquisition and scrapping programme in the 1st Schedule and

the spare parts acquisition programme in the 2nd Schedule shall be reviewed by the parties hereto in the month of April of each year

during the currency of the franchise and any agreement thus reached

shall be deemed to be substituted for the said 1st and 2nd Schedules

respectively. In the event that agreement as aforesaid is not reached

by the parties hereto by the 30th April in any year, the Commissioner

may direct or require compliance with such programme or programmes as

he may issue pursuant to the Ordinance or otherwise,

With regard to paragraph 1(b) hereof, the parties hereto agree that

maintenance and servicing of omnibuses shall be in accordance with

the 3rd Schedule hereto.

The Commissioner may direct or require compliance with such further or other maintenance and servicing procedures as he may issue

pursuant to the Ordinance.

KMB will use its best endeavours to purchase land for depot facilities

at Sha Tin, Yuen Long and Shek Wu Hui.

The Commissioner will use his best endeavours to assist KMB in leasing from the Government temporary depot facilities at Ngau Chi Wan and permanent facilities at Kowloon Bay.
