AND VIERBAS the parties hereto are desirous of eaching an agreement as to certain requirements, without rejudice to the generality of the Ordinance and the franchise, to be met by both parties to assist in maintaining a proper and efficient public omnibus service by KB,

NOW THIS AGREEMENT WITNESSETH as follows

1.

The parties hereto agree that there are the following main areas where operation of the franchise needs to be maintained or improved, namely :-

(a) forward planning of passenger carrying

capacity for the purpose of acquiring

sufficient omnibuses and spare parts for anticipated needs and the phasing out of

old omnibuses;

(b) maintenance and servicing of omnibuses;

(c) provision of depots to accommodate all the

omnibuses and to provide therein proper facilities for the maintenance of such

omnibuses;

(a)

working conditions of KB's employees so as to ensure that KNB can attract and retain a sufficient number of competent drivers, mechanics, managerial and other staff; and
