agents at Sandakan, manging shews a profit of "$43.955.93.

managing Commission due to agents at Sandakan for the year ending June 30, 1938, which was not brought into last year's ac- count, has to be deducted, leaving a nett balance of $37,988.00, which your Board recommends be carried forward to the account for the cur- rent year.

INCREASED CONSUMPTION

In the year under review there has been a small increase in the number of units sold for lighting and our Resident Engineer reports that Sandakan is definitely but slowly growing.

The improvement in our counts in the past two years is largely due to the favourable ex- change at which the surplus of revenue over expenditure is trans- Terred to our accounts in Hong Kong dollars.

While your Board does not re- commend the payment of a divi- Gend this year, it has under con- sideration a scheme for the return of some of our surplus capital. It ta not anticipated that any large sums will be required for renewal ur extension of plant for some time and with the capital reduced the Company, if Sandakan does not have any setbacks due to busi- ness depression, should be able to pay a dividend. Your Board ap- preciates that shareholders in the 15 years since the Company was reorganized have had no return on their investment, and hopes the scheme which 'I have just referred to will appeal to them and reward them for the patience they have so long exercised.
