At the previous meeting a sensation was caused by four of the Directors of the Board giving notice resigning as an expression of their disapproval of the proposed resolutions which had been put forward by a number of shareholders: The Directors who then gave notice of retirement were: the Hon. Sir Paul Chater. C.M.G. the Hon. Mr. A. 0. Lang, the Very Rev. Father Robert and Mr. D. G. M. Bernard.

Following upon the resignation of these four gentlemen other share- holders have been invited to tako their place on the Board of Direc tors and at yesterday's, meeting the following occupied Directors' seats: Mr. C. A. da Rota, Mr. LA Tse Fong and Mr. C. F. Mendham The meeting was presided over by Mr. R. F. Showa, Chairman of the Board of Directors, and there were also present in addition to Allan the Directors mentioned: Mr Keith (Secretary), Mr. R. F. Mattingly (of Messrs. Deacon, Earston and Shen- ton, the Company's solicitors), and the following shareholders:-Messrs. J. M. Alves, J. P. Braga, W. J. Carroll, Mr. A. Razack, H. Rutionjee, W: Logan, W. J.

The Secretary baving read the minutes of the previous Extraordinary General Meeting the CHAIRMAN asked if it was agreed that these should be confirmed.

Mr. W. J. CARROLL said: Eam against this call being paid on March 15th. It interferes to a largo extent with our March settlement-1 very heavy settle- meat. Personally I do not see that this money is required at all. I am against this increase of capital but. I do not see there is any use opposing it because the majority are in favour of it. I would like to propose that this call be deferred. The CHAIRMAN: I cannot see how it can be done.

Mr. CARROLL : I oppose this call being made on March 15th because I think it is inconvenient. If it is going to be made I think is should be made six months hence or three months bence, I bave after the March settlement. spoken to a number of people this morn-

I am very sorry if The CHAIRMAN: this interferes with the March settle- ment but Mr. Carrol has already been informed that the legal point of view is that we cannot make any change in these resolutions. They must be either accepted or rejected by this meeting.

The LOGAN seconded the confirmation of the minutes, and this was carried, there being two dissentients.

The CHARMAN then proposed the fire resolation before the meeting:

(1) That the authorised Capital of the Company (which is now $3,000,000 consisting of 400,000 shares of the nominal value of $7.50 each the whole of, which have been issued) be increas ed td $6,000,000 by the creation of 400,000 additional shares of the nominal value of $7.50 each ranking (subject as bereinafter mentioned) as from date of allotment for dividend and in all other respecta pari pasu with the shares constituting the Company's present isened Capital.

Mr. Tonias seconded and the resolu tion was carried.

The two other resolutions, the second providing for the offering of the Dew shares to shareholders in the proportion of one new share for every old share beld. 81 to be paid on acceptance and the balance from time to time; and the third dealing with alterations to the Articles of Association of the Company were also confirmed, the scoonders being Mr. E. J. FIGURIERDO and Mr. M. A Rizica, respectively.

This concluded the business before the meeting:
