That the fusion of the intereats of the Union Insurance Society of Can- ton, Limited, (in this and the follow- ing Resolutions referred to se "the Society") and the North China Insurance Company Limited (in this and the following Hesolutions ferred to as the Company") be approved of and agreed to on the bais following:- (a) That shares of the Society of the nominal value of £10-coach whereof £4-per share shall be credited as paid up be allotted to the share- "holders of the Company in exchange for the shares of the Company in the ratio of one and a half shares of the Society for each one share of the Company.

(b) That the Society in addition make

That the 15.000 shares referred to in Resolution No. 2 ahove as and when issued to rank for dividend and in all respects pari pasu with the exist ing Ordinary shares of the Society and that the balance (if any) of such 15,000 shares be dealt with in such manner as the Board of Directors of the Society shall think most beneficjal to the Society.
