The objects for which this Company has been formed are as contained in the Articles of In- corporation and Bye-Laws of the Company, and in particular to acquire, take over, operate and control a groep of the leading motion picture theatres throughout China and the Orient generally. Mr. Lo Kan, who has consented to serve as the first Managing Director of the Company, in well known throughout the Orient and America as a pioneer in the motion picture business in China and Hong Kong. He has had a long and wide experience and has a specialised knowledge of all branches of the cinema industry. Mr. Lo Kan has achieved outstanding success as one of the promoters and Managing Director of the Hong Kong Amusements, Ltd., Hong Kong, since its incep- tion, and he directs or controls more than 30 of the leading cinema-theatres in China and Hong Kong, of several of which he is the owner, and some of his several appointments are as follows:--

Part of the proceeds of the present issue will be used to acquire-
(a) Control of a minimum of 40 of the leading motion picture theatres in Shanghai and out-
ports under an agreement entered into between Mr. Lo Kan and the Company.
(b) A majority share interest of the Hong Kong Amusements, Ltd., under an agreement entered into between certain shareholders of the Hong Kong Amusements, Ltd., and the company.
(c) Control of the Puma Films, Ltd., and the Theatre Equipment Co., Ltd.
The estimated cost of obtaining this control is Tis. 2,300,000,000 and is based on the past working of the theatres at present in operation.
It is intended to use the balance of this issue, viz., Tla. 700,000 for the erection of studios and the production of Chinese pictures and also for obtaining control of further theatres where advantageous to the Company.
Negotiations are at present in progress for the lease on long term of 22 mow of land for the erection of studios. Modern equipment for the taking of sound pictures has already been pur- chased and an expert from the Radio Corporation of America is due to arrive in Shanghal shortly to supervise the erection of the studios and the installation of the equipment. The Company intende to lease studio units to local companies and to encourage further Chinese companies to make sound and talking pictures. Not only will the Company obtain a handsome return on its capital by leas ing these units, but will also obtain a first refusal on all pictures produced at the studios.
When it is realised that good Chinese pictures run in the cheaper-priced theatres longer than any foreign picture, the vast possibilities of Chinese pictures will be recognized.
There are less than 100 modern theatres in China, a strikingly small number when compared with the approximate number of 1,400 motion picture theatres in Japan, illustrating the immense potentialities of the motion picture business throughout China, which is at present in its infancy. The theatres to be acquired will accommodate the release in China of the principal foreign producers with whom the Company, through Mr. Lo Kan, will have the advantage of favourable contracts already entered into, and to afford releases, of Chinese productions which will shortly be available from several Chinese producing companies. The Shanghai theatres will be well distributed, throughout the city and each is especially designed to fulfil the particular requirements of the community in which it is located.

Among the many obvious advantages to be obtained from the consolidation of a large group cs, Enerma of motion-picture theatres under centralised control, operation and management, may be men tioned considerably reduced overhead expenditure, and increased revenue resulting from a selected distribution and better exploitation of the latest pictures.
By having a chain of theatres under unified control the Company will be able to establish purchasing offices in the picture producing centres in the US.A., and England, enabling direct contact to be maintained with some 25 or more producers who have no direct representation in China at the present time,

Common Shares are now offered for public subscription in the terms of this Prospectus.
