(chairman of the com- pany), for the purpose of passing the following resolution. That the capital of the company be increased zo £23,000,000 by the creation of 8,000,000 additional ordinary shares of £ each, and that the beard be authorised to issue such shares at such times and upon such terms and conditions and for such consideration as they may from time to time de tamine."

It has been a question of principle with your direc fors that the equilibrium of financeas between the "Shell" and the Royal Durch Companies should be maintained, and at the pre sent mcuent the "Shell" Com- pany's resources are below their Tatio. As might have been anti cipated in a business of the magni- tude of the Shell" group, constant j capital requirements are confronting the directors. To instance only a few-The Asiatic Petroleum Com-: pany has increased its capital by £2,000,000 sterling, and last, but by no means least, the "Shell" Market- ing Company has since the termina: tion of the war paid up its capital cf £3,000,000 sterling. I hope that our shareholders follow the narratives which I have given them from time to time as to the position of the arces of this group as a whole, and, if so, they will cer tainly realise that so large were these that there would have been no actual; necessity to increase the parent.com- pany's funds were it not for the fact that so great an asset is financial strength in such a group that I say unhesitatingly we can never have too much liquid money.

It has been wrongly surmised that the object of the raising of the capital of the Shell" Company was to pro- de funds for the purchase of the Mexican Eagle shares. It is not so. These funds have been provided by the middle companies, and the arpount | which will ultimately have to be found by the "Shell" Company, so far ast the purchase of the shares goes, is un-: important. Not so, however, are the sums required for the full develop- ment of our Mexican interests. Here, again, I must refer to previous statements-pamely, that we had enormous potential production in that country, and, while we appreci ate the motives which induced Lord. Cowdray to part with the predomin ating influence in the company which his genius had created, we agree with the wisdom of the step which he took, as being one which will ultimately greatly benefit the outside shareholders in the Mexican Eagle Company, for I am only repeat ing his own sentiments when I say that a much greater future is secured to then, under "Shell" management than would have been possible to the company as a separate entity.
