LAW OFFICERS to COLONIAL OFFICE.

Lincoln's Inn, January 23, 1866. We are honoured with your commands, signified to us in Sir Frederic Rogers' letter of the 20th January instant, stating that with reference to our Report of the 25th November* on the subject of the differences which had arisen between the Legis- lative Council and the Legislative Assembly of Victoria, he was directed by you, Sir, to transmit to us copies of two further Despatches from Sir Charles Darling on the subject; and further stating that he was also to transmit to us the draft of a Despatch, which you proposed to address to Sir Charles Darling in reply; and requesting that we would take these papers into our consideration, and favour you with our joint opinion, whether the draft Despatch conveyed a proper answer to the legal considera- tions adduced by Sir Charles Darling; and further requesting our answer in time for the mail of the 26th instant, on which day it was intended that the Despatch should be forwarded.

In obedience to your commands, we have taken these papers into our consideration, and have the honour to

That, in our opinion, the proposed Despatch does convey a proper answer to the legal considerations urged by Sir Charles Darling.
