Lincoln's Inn, June 25, 1864. We are honoured with your commands, signified in Sir Frederic Rogers' letter of the 21st instant, stating that he was directed to request that we would peruse

the accompanying copies of a Bill now before Parliament, intituled " An Act for the better "winding up of the New Brunswick and Canada Railway and Land Company, Limited," and copy of a memorandum addressed to the Administrator of the Government of New Brunswick by his Executive Council, and to request that we would inform you whether the considerations alleged in that memorandum furnish any sufficient reason why Her Majesty's Government should interfere to prevent the further progress of that Bill.

And that as the interference of Government, in case it should be necessary, ought not to be delayed, you desired to obtain our opinion as early as possible.

In obedience to your commands we have taken these papers into our consideration

and have the honour to

That we think the objections urged against the Bill by the Executive Council of New Brunswick so strong that the Bill should not be allowed to proceed.
