in all things to the control of the Port Trust, and shall
carry out all directions, general or special, of the Port
Trust given in relation to such committee or its affairs.
(f) The Port Trust may from time to time discharge, alter,
continue, or reconstitute any committee appointed by it.
(g) The validity of acts done by the Port Trust shall not
be affected by any error or defect in the election or
appointment of any commissioner, or by the fact that the full
number of commissioners has not been appointed, or by the fact
that any person acting as a commissioner is disqualified or
that any commissioner has vacated his seat.
(h) The Port Trust shall cause minutes of its decisions
to be kept upon the official papers and cause minutes to be
kept of its proceedings at formal meetings. A copy of all such
minutes shall as soon as possible after signature be sent to
the Government.
A copy of the minutes except such portions
thereof as the Chairman may in any particular case direct shall
be open to the inspection of the public at the Office of the
Port Trust.
(10) (a) No commissioner may vote upon any matter in which he
is personally concerned and if the matter concerns a contract
or arrangement which it is proposed the Port Trust shall enter
into he is further debarred from taking any part in the
discussion.
(b) A commissioner is deemed to be personally concerned
in a matter if any share therein is held by or any benefit
therefrom aay accrue directly or imirectly to:-
(1) himself or his partner or
(ii) any person for whom he is acting professionally
or as agent, other than a Government Department.
(iii) any company in which he is a Director or an
Officer or servant, but not a company in which
he is a share-holder only.
