to some other part of the British Empire for such period not exceeding six months after the war as the Governor may approve.
3. The Governor shall not grant the prior approval referred to in regulation 2 unless he is satisfied that the removal of the registered oflice is expedient to meet some emergency which may arise as a result of the existing war or of any other war which might occur during the course thereof. A desire to avoid taxation shall not be considered as a valid ground for the grant of such approval.
4. After the filing of any such resolution as is referred to in regulation 2 the Registrar of Companies, when satisfied of such prior approval as aforesaid and that the registered office has been established in some other part of the British Empire and that the Company is maintaining there its register of members, charges and of directors or managers and that the names and addresses of some one or more persons resident in the Colony authorized to accept service of process and any notices required to be served on the Company have been delivered to him for registration, shall issue a certificate to the effect that the Company has complied with the requirements of these regulations and such certificate shall be conclusive evidence thereof.
5. From and after the issue of the certificate referred to in regulation 4—
(a) the provisions of the Companies Ordinance, 1932, shall apply to Companies registered under it which have been given such a certificate subject to the modifications set out in the Schedule; and
(b) the provisions of any other Ordinance relating to any other Company which has been given such a Certificate shall apply to such company subject to such modifications as the Governor may by order direct.

(1) Sections 92, 93 and 103 (6) shall be read as if the words local office were substituted for the words
