On 2nd December not (repeat not) 8th December Hong Kong Gazette Extraordinary published an Order reciting Section 5(b) of the Defence (Companies Temporary Transfer of Registered Office )Regulations, 1941, of Gazette Extraordinary of 9th January, 1941 as subsequently amended by Order of 2nd December, Proceeded to order that Hong Kong and Shanghai Bank Ordinance No. 6 of 1929 shall apply to the Hong Kong and Shanghai Banking Corporation subject to the following modifications,
(1) Section 2(1) amended by the deletion of the word "Colony".
(2) Section 4(2) amended by the substitution of the words "Directors of Committee of the local management in such place as the Head Office may for the time being be situated or if there be no such Committee then the Committee in London" for the words "Shareholders by special resolution",
Another notice of the same date amended the Defence (Companies Temporary Transfer of Registered Office) Regulations published as Government Notification No. 32 in Gazette of 9th January, 1941, by the insertion of the words "or head" after the word "registered" wherever that word occurs in titles and Regulations 1, 2, 3 and 4c
Grayburn has not used these powers but desires if possible the issue of an Order in Council from His Majesty to the same or similar effect with the intent that the Head Office and control should be vested in Morse and his London Committee with the object of ensuring that the Bank should never be considered an
enemy by virtue of the possible situation of its controlling head being in enemy occupied territory.
