The Registrar of Companies,

Dear Sir,

We have been consulted by the local representative

of the Provincial Bank of Fukien with regard to the question

of registration under Section 319 of the Companies Ordinance.

The Provincial Bank of Fukien is, as its name indi-

cates, a bank established by the Chinese Government of the

Province of Fukien.

It is desired to establish a branch office of such

Bank in Hong Kong and the question which has arisen is whether

such branch should be registered in Hong Kong in pursuance of

the Companies Ordinance.

We have seen the Chinese constitution of this Bank

and the following articles would seem to have a bearing on the

question under consideration :-

Article 3. The Bank is established and operated by the

Fukien Provincial Government and shall be known

as the Provincial Bank of Fukien.

The authorised capital of the Bank shall be

$5,000,000 National Currency, which has already

been fully subscribed by the Fukien Provincial

Government. One half of the authorised capital

i.e. $2,500,000 National Currency has already

been appropriated, the remaining half to be

appropriated at another date.

If it should be necessary to increase the

authorised capital of the Bank or to enlist

civilian capital, the same shall be decided by
