relating to the winding up of the Company, or any branch

thereof operating in China, is added as it seems necessary.

The first part of this added paragraph is suggested by the provisions of the present Article 194(4).

Draft Article 194 (4) is identical with Article 200(4).

Draft Article 194 (5) follows the lines of Article

200(5) in that it excludes existing companies.

It is pre-

sumed that Sir John Brenan did not intend his proposals to

apply to existing Companies and consequently words are added

to draft Article 194(5) preserving the effect of the present

Article 194 so far as existing China Companies are concerned.

15. Draft Article 194(6) is new and is intended to give effect

to Sir John Brenan's suggestion regarding dual nationality

referred to in paragraph 5 of this memorandum.

16. The final paragraph of the draft Order in Council

follows the form at the end of the China (Registration Fees Amendment) Order in Council, 1933.
