The Macau Electric Lighting Co., Ltd.

IN consideration of your having, at the request of

certain Officials of the Colony of Hongkong, formed a Company to

operate a Waterworks in the Portuguese Colony of Macau, and

having agreed to finance such Company to enable it to operate

such Waterworks, the Imperial Government of Great Britain hereby

guarantees that, in the event of the Colony of Macau at any time

hereafter while the Concession is in force ceasing to be a

Portuguese Colony, whether by rendition of Macau to the Chinese,

or cession to the Japanese Government or otherwise, with the

result that the terms of the Concessionary Contract to which

reference is made hereafter are rendered impossible of performance

in the view of the Directors of the Macau Waterworks Co., Ltd.

as a reasonable financial undertaking, or with the result that

such Concessionary Contract is owing to such rendition, cession,

or otherwise, revoked, the Imperial Government of Great Britain

will refund to the H ongkong & Shanghai Banking Corporation and

the Macau Electric Lighting Co., Ltd. or others the holders for

the time being of shares in, or the lenders of sums loaned to

the Macau Waterworks Co., Ltd., the Company incorporated under

the Companies Ordinance of Hongkong for the purpose of erecting

and thereafter operating such Waterworks at Macau, all loss of

original Capital subscribed or sums advanced by way of loan (plus accrued interest thereon) to such Company which may be sustained

by that Company through such rendition, cession, or otherwise as

aforesaid rendering the Concessionary Contract incapable of

performance or void as aforesaid, less any sums which may have

been repaid by that Company to the subscribers and/or lenders by

way of return of Capital and/or repayment of loans and interest.
