37. The General Committee shall have full power to make such bye-laws as they may deem necessary in connection with the carrying out of any of the said objects set forth in the Memorandum of Association of the Club and for the regulation of the affairs of the Club.
38. The quorum for transacting business by the General Committee shall be five Members thereof; a resolution signed by all the Members of the General Committee then present in the Colony shall be an effectual resolution for all purposes.
39. A Sub-Committee may elect a Chairman of their meetings. If no such Chairman is elected, or at a meeting, if the Chairman is not present within five minutes after the time appointed for holding the same, the Members present may choose one of their number to be the Chairman of the meeting.
40. All acts done by any meeting of the General Committee, or a Sub-Committee, or by any person acting as a Member of such Committee or Sub- Committee shall, notwithstanding that it is afterwards discovered that there was some defect in the appoint- ment of any such General Committee or Sub- Committee or person acting as aforesaid, or that they or any of them were disqualified, be as valid as if every such person had been duly appointed and was qualified to be a Member of the General Committee or Sub-Committee.
41. The Chairman shall, when present, take the chair at all meetings of the General Committee and, in his absence, the Committee may appoint some other person to act for him at the meeting then being held.
