case at the first meeting of the Directors after the acquisition of their or his interest; and no member of the General Managers and no Director shall vote in respect of any contract or arrangement in which he is so interested as aforesaid; and, if he do so vote, his vote shall not he counted; but this prohibition shall not apply to any contract by or on behalf of the Company to give to the Directors or any of them any security for advances or by way of indemnity or to a settlement or set off of cross claims, and it may at any time or times be suspended or relaxed to any extent by the Company in General Meeting.
(b) A member of a Corporation shall not be deemed to be interested in any contract or arrangement in which the Company is interested by reason of his membership of such Corporation or of any benefit derived by him thereby.
(c) A general notice that the General Managers or any member thereof, or any Director is a member of any specified firm and is to be regarded as interested in any contract or arrangement with such firm shall be sufficient disclosure under this Article, and after such general notice it shall not be necessary to give any special notice relating to any particular contract or arrangement with such firm.
(4) Any Corporation of which the General Managers are general managers or any Director is a Director may contract with the Company as if the General Managers or Director were not interested as General Managers or Direc- tor thereof, and any such contract shall be given full effect and the General Managers or any Director shall not be liable to account to the Company for any benefit derived by them by reason of their being general managers or director of such Corporation, but contracts of this nature shall be entered into only with the sanction of the Direc-
