107. The proceedings at any meeting duly called and constituted, and all resolutions and decisions of such meeting shall be valid and binding on the Company.

Votes of Members.

108. On a show of hands every member present in person shall have one vote and upon a poll every mem- ber present in person or by proxy shall have one vote in respect of each share held by him.

109. When shares are held by a Public Company or Corporation the Secretary, Manager, or person for the time being in charge of the business of or agent of such Public Company or Corporation shall be entitled to vote for such Public Company or Corporation whether on a show of hands or on a Poll.

110. When shares are held by a Firm any one of the partners of such Firm shall be entitled to vote for such Firm whether on a show of hands or on a poll but so that only one person shall vote in respect of the shares held by such Firm.

111. Any person entitled under "The Transmission Clause" (Supra Article 82) to transfer any shares may vote at any General Meeting in respect thereof in the same manner as if he were the registered holder of such shares; provided that forty-eight hours at least before
