I am directed by the Board of Trade to refer to your

letter of the 4th October (Reference No.F.5175/5178/10), with its enclosures, regarding a Petition from certain China DORS panies for an amendamt of existing legislation so as to allow

In reply I am them to keep local share registers outside China. to submit, for the consideration of Lord Cushendun, the follow-

ing observations:-

As stated in the Crown Advoante's minute of the 27th

April last, a copy of which was onelosed with your letter, the

Petition, in effect, prays for the amendment of Hongkong

Ordinance No. 53 of 1911 in two respects, nanoây:-

(a) In the first place it is desired

that Section 273 (1) of the 1911 Ordinance

(originally Section 7 (1) of Ordinance No.

$1 of 1915) may be amended so as to jakke

Beotion 35 of the 1911 ürdinance applicable

in the oase of China Companies.

(b) In the second place it is desired

that Sestion 35 of the 1911 Ordinance may

be amended so as to parait of a Company

being licensed to keep a loanl register

in London, even though such Company does

not carry on any part of its business

As regards the position in this country, Saation 34 (1) of the Companies (Consolidation) Aat, 1908, as mended by

Section 10 of the Gompanies Act, 1988, reads as follows:-

(1) À Bompany having a share sapital whose objects comprise the
